1. Agreement to Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

2. Description of Services

Mentrast provides an AI-powered educational platform designed to generate adaptive, personalized learning curricula (the "Service"). You acknowledge that the Service utilizes advanced artificial intelligence and large language models (LLMs) to generate content. While we strive for accuracy, the nature of AI means that generated content may occasionally contain inaccuracies or hallucinations. You agree that Mentrast is a tool for educational support and not a substitute for professional accreditation or verified academic instruction.

3. Accounts & Registration

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. User Conduct & Prohibited Acts

You agree that you will not: - Use the Service for any unlawful purpose or for the promotion of illegal activities. - Attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Service. - "Scrape" or "crawl" any page, data, or portion of the Service (through use of manual or automated means). - Use the Service to generate content that represents hate speech, harassment, threats, or promotes violence. - Excessive use that impacts the stability or performance of the Service for other users.

5. Intellectual Property Rights

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Mentrast Protocol and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Mentrast Protocol.

6. User Generated Content

Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness. By posting Content to the Service, You grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of Your rights to any Content You submit, post or display on or through the Service and You are responsible for protecting those rights.

7. Fees & Payments

**Current Status: Free Access ("Early Access").** As of the Effective Date, the Service is provided completely free of charge. We reserve the right to introduce subscription fees or premium tiers in the future. **Future Subscriptions:** If we introduce fees, you will be billed in advance on a recurring and periodic basis ("Billing Cycle"). We will provide reasonable notice before any price changes or new fees take effect. You will have the opportunity to cancel your account before being charged.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

9. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Mentrast Protocol its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

10. Limitation of Liability

In no event shall Mentrast Protocol, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Indemnification

You agree to defend, indemnify and hold harmless Mentrast Protocol and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

12. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. For any dispute with Mentrast Protocol, you agree to first contact us at legal@mentrast.com and attempt to resolve the dispute with us informally. In the unlikely event that Mentrast Protocol has not been able to resolve a dispute it has with you after sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief as provided below) arising out of or in connection with or relating to these Terms, or the breach or alleged breach thereof (collectively, "Claims"), by binding arbitration by JAMS.

14. Service Level & Availability

While we aim for 99.9% uptime, the Service is subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. Mentrast Protocol is not responsible for any delays, delivery failures, or other damage resulting from such problems.

15. Feedback & Suggestions

If you provide us with any feedback, suggestions, or comments regarding the Service ("Feedback"), you hereby assign to Mentrast Protocol all rights, title, and interest in and to such Feedback. We are free to use such Feedback without any payment or obligation to you.

16. Export Control

The Service supports services and uses software and technology that may be subject to United States export controls administered by the U.S. Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, and other U.S. agencies. You represent and warrant that you are not located in a country or on a list of prohibited or restricted parties.

17. Force Majeure

Mentrast Protocol shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Mentrast Protocol's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.

18. Governing Law

These Terms shall be governed and construed in accordance with the laws of United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

19. Class Action Waiver

Where permitted under applicable law, you and Mentrast Protocol agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action. Unless both you and Mentrast Protocol agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

21. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
